What it means

Two unrelated meanings, both live in this market.

Underwriting lookback

The period of recent history the lender examines. In short-term funding this is a set number of months of bank statements, sometimes supplemented by processing statements. Everything inside the window counts: deposit totals, negative days, NSF activity, existing funder debits, average balance and the trend across the months.

The window rolls, so its edges matter. A poor month drops out at the start of the next month and a decision can change without anything improving. That is why applications are timed, and it is also why a merchant declined in one week is sometimes approved in the next by the same funder on the same file.

Longer-form lenders use longer windows — two or three years of tax returns and interim financials — which makes them far harder to time and far less sensitive to a single bad month.

Bankruptcy lookback

Under the Bankruptcy Code, a trustee may recover certain transfers made before a filing. Preference recovery reaches ordinary payments to creditors made within a defined period before the petition, longer for insiders. Fraudulent transfer provisions reach further back, and state fraudulent transfer statutes can reach further still — the periods vary by state.

This matters to funders and to guarantors: a payment received before a merchant's bankruptcy is not necessarily kept, and a guaranty's reinstatement clause revives the guarantor's liability if a payment is clawed back.

Where this one catches people

Timing an application around the lookback window is standard practice and is not, by itself, improper — waiting for a bad month to roll off is ordinary commercial judgment. What crosses the line is what people do to shape the window: moving activity between accounts, depositing funds that are not revenue, or submitting statements from an account that is not the operating account. All of that is visible in a full statement set, all of it is a misrepresentation on an application signed under a certification of accuracy, and all of it triggers the performance guaranty.
