ACH authorization

Also called debit authorization, ACH agreement, direct debit authorisation.

The document by which you authorise a funder to debit your bank account, and the legal basis for every daily or weekly pull it takes.

Drafted with AI assistance. Not yet independently checked. Nobody has verified the claims on this page against a source, so treat the figures and legal points as a starting point rather than as settled, and confirm anything you are about to act on. How we check things.

What it means

It names the originator, the account, the amount or the method for calculating it, the frequency and the duration. Under Nacha rules an originator must hold a valid authorisation for each entry, retain it, and produce a copy on request — which is a request worth making if you cannot account for a debit.

Business accounts are treated differently

The consumer ACH framework gives extensive revocation and re-credit rights on a generous timetable. Corporate entries do not carry the same protections. Your position comes from the deposit agreement, UCC Article 4A and the contract itself, and the window for returning an unauthorised business debit is measured in a day or two. Find out your bank's actual deadline before you need it, not after.

What to read in the document

  • Whether the amount is fixed, or variable and determined by the funder
  • Whether the funder may change the debit amount unilaterally, and on what notice
  • Whether it permits re-presentment after a return, and how many attempts
  • Whether it covers only the named account or "any account maintained by Merchant at any financial institution"
  • Whether it survives termination of the underlying agreement, and how it is revoked

Where you meet it

Bundled into the funding package, frequently as an exhibit you initial rather than a document you read, and sometimes signed months before the debits it authorises begin.

Where this one catches people

Never sign a blank or open-ended one, and both forms circulate.

An authorisation with the amount left blank, or worded as "such amounts as Funder determines to be due", hands over the ability to debit whatever the funder decides — accelerated balances, default fees, collection costs — without asking you again. And an authorisation covering any account you maintain at any financial institution converts a single-account arrangement into access to every account you hold, which is a far larger grant than the deal you thought you struck. Strike both, or do not sign.

Second, revocation is not a remedy. Even where the authorisation says you may revoke on written notice, the funding agreement will separately provide that revoking is an event of default. The two documents do different jobs, and exercising a right under one breaches the other — which is the whole design.

Which products does ach authorization apply to?

Merchant Cash Advance, Working Capital, Term Loan, Business Line of Credit, Revenue-Based Financing.

Has this definition been checked?

Not yet. This entry is drafted and live, and the notice at the top says so. Confirm anything you are about to act on.

Is this legal advice?

No. It is a definition. What a clause does in your contract, in your state, is a question for a lawyer licensed where you are.

Can I suggest a term?

Yes — [email protected]. The glossary grows from what people are actually shown in contracts.
